These Terms and Conditions (“Terms”) govern your access to and use of the website https://webshop.verpa.be/en-us/ (the “Website”), operated by Verpa Benelux NV, a Belgian company headquartered at Nikelaan 4, 2430 Laakdal, Belgium (company / VAT number BE 0405.793.857).
By visiting or using the Website you confirm that you have read, understood and agree to be bound by these Terms. Only special provisions expressly agreed between the parties and deviating from the general terms shall take precedence. If you do not agree, please do not use the Website.

2. Account Registration
- You may create an account to place orders, track purchases and view your order history. You are responsible for keeping your login credentials confidential and for all activity carried out under your account.
- We reserve the right, at our sole discretion, to suspend or terminate any account or to refuse an order (e.g., for breach of these Terms, suspected fraud or abuse).
3. Ordering & Payment
- General
All orders are subject to acceptance and availability. If we cannot accept an order, any amounts you have paid will be refunded.
Prices are shown in EUR and include Belgian VAT where applicable.
We accept only the payment methods displayed at checkout; payment must be fully received before we dispatch Products. We do not offer recurring payments or subscription schemes. - Invoice & due date
All invoices are payable in Laakdal within 30 days of the invoice date. - Late-payment penalty
If an invoice remains unpaid one month after its due date, the outstanding amount will automatically, without formal notice, be increased by a flat 10 % compensation charge and interest at a rate of 10 %. Should legal proceedings be initiated to recover the unpaid invoice, an additional fixed compensation of €250 for collection costs (as per article 6, second paragraph of the Belgian Act on combating late payment in commercial transactions) will apply. This fee is separate from court fees and other procedural costs.
If you are a consumer, we will first send a cost free reminder. If the invoice remains unpaid after a further fourteen calendar days, the outstanding amount may be increased as follows:- Interest according to article 5, second paragraph of the Act of 2 August 2002 on combating late payment in commercial transactions.
- A fixed compensation:
- €20 if the outstanding balance is ≤ €150;
- €30 plus 10 % of the amount due for balances between €150.01 – €500;
- €65 plus 5 % of the amount due for balances > €500.01, capped at €2 000.
4. Products
Product images are for illustration only. While we strive to display colours accurately, we cannot guarantee exact colour matching. Your product may differ slightly from the images. Packaging may also differ from what is shown on the Website.
5. Complaints
Any complaint (e.g., concerning an invoice or delivered Products) must be submitted within 8 calendar days of receipt.
6. Delivery
- We deliver to addresses in Belgium (additional destinations may be added from time to time).
- Delivery times are indicative; delays may occur due to circumstances beyond our control. In cases of force majeure, you have no right to terminate the contract nor claim damages.
- Risk of loss and ownership of the Products pass to you upon delivery at the address you specified.
7. Right of withdrawal & returns
- As an EU consumer you have the statutory right to withdraw from your purchase within 14 calendar days of delivery without giving any reason (Directive 2011/83/EU).
- To exercise this right, email info@verpa.be with your order number and an unequivocal statement of withdrawal, then return the Products in undamaged, saleable condition.
- We will refund all amounts you have paid—including standard shipping costs—within 14 days of receiving the returned Products (or proof of return). You bear the direct cost of returning the goods.
- The right of withdrawal cannot be exercised for sealed goods that are unsuitable for return for health or hygiene reasons and whose seal has been broken after delivery. If you return such goods, we reserve the right to refuse them.
8. Warranty & conformity
Products are covered by the statutory conformity warranty under Belgian law. If a Product is defective or does not match its description, notify us promptly; we will, at our discretion, repair, replace or refund the item in accordance with the applicable legislation.
9. Intellectual property rights
- All content on the Website—including text, images, logos, design elements, trademarks and source code—is our exclusive property or licensed to us.
- You may view, download and print pages of the Website for personal, non-commercial use only. Any other use, reproduction or distribution requires our prior written consent.
10. User feedback
When you submit comments, ideas or suggestions regarding the Website or our Products (“Feedback”), you grant us a perpetual, worldwide, royalty‑free licence to use, modify and incorporate that Feedback without compensation or attribution.
11. Promotions, contests & sweepstakes
From time to time we may organise promotions, contests or sweepstakes. Each such activity is governed by additional rules published on the Website; participation implies acceptance of those specific rules as well as these Terms.
12. Limitation of liability
To the extent permitted by law, we are not liable for:
- indirect, incidental, special, punitive or consequential damages; or
- any loss of profit, revenue, data, goodwill or business opportunities, arising from or connected with your use of the Website or purchase of Products.
13. Indemnity
You agree to indemnify and hold us harmless from any claim, demand, loss or damage (including reasonable attorney’s fees) arising from your breach of these Terms or misuse of the Website.
14. Governing law & jurisdiction
These Terms and any dispute arising out of them are governed by Belgian law. The courts of Turnhout have exclusive jurisdiction, without prejudice to mandatory consumer‑protection rules.
15. Severability
If any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall remain in full force. The invalid provision will be replaced by one that most closely reflects the parties’ original intent.
16. Entire agreement
These Terms, together with any policies or documents expressly incorporated by reference, constitute the entire agreement between you and us concerning the Website and supersede all prior or contemporaneous communications.
17. Amendments
We may amend these Terms at any time by posting an updated version on the Website, which will take effect immediately. The “Last updated” date at the top will be adjusted accordingly. Continued use of the Website constitutes acceptance of the revised Terms.
